In this case the appellants/plaintiffs sued Public Bank Berhad,
the first respondent, for an injunction to restrain it from paying Sedaya Sdn.
Bhd., the 2nd respondent, a certain sum of money due from the appellant to the
2nd respondent on the ground that a greater sum was due from the 2nd
respondent to the appellant. Both sums arose out of a sale and purchase
agreement of a house, the first sum being the balance of the purchase price
whilst the second was an amount of liquidated damages for late delivery of
vacant possession. The Court below refused to issue the injunction requested
for.

The appellants are housing developers of a housing
project known as Taman Permai Jaya in Mantin, Negeri Sembilan. The respondent
is a purchaser of one of the houses, lot no 5644, built by the appellants for
the sum of $48,000. Both the appellants and the respondent entered into a sale
and purchase agreement on 30 July 1982, which is subject to and in compliance
with the Housing Developers (Control and Licensing) Act 1966 and the rules and
amendments thereto.

The respondent was the managing director of a housing developer company which
was engaged in a housing development in Negeri Sembilan without having a
licence to do so. The housing market collapsed and the respondent's company
could not proceed with the housing scheme. The prospective buyers who had
booked the houses demanded a refund of their money and the Deputy Minister of
Housing subsequently issued a directive under s 12 of the Housing Developers
(Control and Licensing) Act 1966 ('the Act') directing the respondent to make
the refunds. The respondent failed to carry out the refunds and was therefore
charged in the Magistrate's Court for failure to comply with the Deputy
Minister's directive. The learned magistrate acquitted and discharged the
respondent, holding that the directive was bad in law as it was not consistent
with the scope and objective of s 12 of the Act and was ultra vires the Act.
The Public Prosecutor appealed against the learned magistrate's order.

Perjanjian tersebut. Sungguhpun Defendan telah menamatkan Perjanjian tersebut
di atas alasan Plaintif telah tidak membuat pembayaran terakhir dan 'service
charge' yang diminta. Pertama sekali surat pembatalan itu dibuat selepas
tindakan Mahkamah diambil oleh Plaintif. Keduanya kemungkiran adalah oleh
Defendan. Dengan itu Defendan tidak berhak membatalkan Perjanjian itu dan juga
tidak berhak di atas tuntutan balasannya.
